Highview Condominium II
Board of Directors - Meeting Minutes
January 9, 2007, 7:30 p.m.

The fourth meeting of the 2006-2007 Highview II Board of Directors began informally at approximately 6:00 p.m. for a discussion of the transition in management firms from JAL Diversified to TKR Property Services, Inc.

At 6:40 p.m., the meeting was called to order by Richard Re, President. Board members in attendance: Miriam Biren, Robert Boynton, Marjorie Cannon, Nora Colford, Al Lamoglia, and Richard Re. Board member absent: Victor Bellini and Stefanie Greenberg. Jordan Kurs of Highview II’s new management firm, TKR joined the meeting at 7:30 p.m.

1) Minutes: Minutes of the November 14, 2006 board meeting were approved.

2) Financial Report:

a) Although the board’s new Treasurer, Victor Bellini, was not in attendance, a report was made in his name indicating that Bellini was investigating outstanding bills, including those from Gary’s Landscaping totaling in excess of $20,000 over a period of two years and payments due RSK Plumbing dating back almost a year. Bellini will be meeting with JAL and Gary’s Landscaping.

b) The board discussed progress in reviewing alternative CPA’s for the building’s audit. Board members are continuing to make inquiries.

c) The budget for FY2007 will be determined shortly.

3) Capital Projects update:

a) Roof rebuild update: The sign-off has not been completed.

b) Exhaust fan repairs and duct blockages: The last central ventilation system blockages (in apartments 1-H, L-D, and L-F) have been resolved.

c) Façade restoration: Jordan Kurs was updated by the board. He will schedule a meeting with the restoration contractor Altus to review the quality of their work. Jordan will also contact the contractor who has manufactured the new awning and frame. Installation and related electrical work has been on hold pending completion of the façade.

4) Maintenance and repairs:

a) There was no report from JAL. JAL is responsible for all maintenance and repairs until February 1, 2007.

b) Since JAL is still responsible for the building until February 1st, Jordan Kurs (of TKR) was only able to report that he has met the super and they have been informally discussing building systems and maintenance policies.

c) There was discussion of the building’s boiler, heating issues, and recent problems with hot water service. The Board adjourned for 15 minutes for a walk-through of boiler room with Jordan Kurs. There was discussion of a new boiler service contractor recently brought into the building by JAL without board consent. The board requested that Jordan Kurs contact Star Boiler, the previous contractor, for an estimate of currently needed repairs and to re-establish a relationship.

d) There was a brief discussion of the process in transitioning from JAL to TKR. Jordan Kurs indicated that JAL was being cooperative, but would be retaining many records until February 1, 2007 when their contract ended.

5) Review of private Board meetings and decisions made during the period of seeking new management:

a) Vote to replace JAL Diversified Management: On September 18, 2006, the board held a special meeting and voted to seek a new management firm to replace JAL Diversified Management as the building’s managing agent. The vote was 4 in favor and 3 opposed. Victor Bellini, Robert Boynton, Anna Civitano, and Nora Colford voted in favor of replacement of JAL Diversified. Richard Re, Marjorie Cannon, and Miriam Biren voted against replacing JAL. Until the transition was completed, all meetings, discussion, and resolutions would remain private to the board and no Minutes posted reflecting the deliberations.

There was debate as to whether JAL should be told of the board’s decision. Richard Re felt that JAL should be informed at once of the board’s decision. The majority of board members felt that this would only lead to JAL’s performance becoming even poorer and would most likely lead to JAL resigning the account before Highview found new management. Rich Re disagreed on both counts, but by a similar Board majority it was agreed that the decision to seek new management would not be shared with Irwin Chopak or any other JAL representatives.

b) President’s decision to suspend projects: On September 19, 2006, Rich Re indicated that he would suspended all major projects until the transition was completed, citing his believe that the professional thing to do was tell JAL that the board was seeking new management. Board members disagreed, pointing out that the search might take several months and that in the meantime JAL should not be asked to do less than they already were doing. At the same time, the board agreed that there was no reason to involve JAL in any new initiatives that might be expected to continue into new management’s term.

c) Management candidates: A total of seven management candidates were submitted by the combined efforts of Bellini, Boynton, Colford, and Lamoglia. Boynton contacted the candidates agents for initial pre-interview information that was then distributed to the full board. The board decided to interview all seven candidates. Interviews were scheduled by Boynton from 11/08/06 to 12/06/06 according to the availability of board members. Victor Bellini coordinated reference checks of all seven candidates and this information was shared with the full board. One candidate removed himself from consideration prior to the first interview after deciding that his staff availability to service a new account was limited. From the six interview meetings that did take place, two finalists were chosen and brought back for second interviews on 12/14/06 and 12/21/06. The final vote to hire TKR Property Management was taken on December 28, 2006.

d) JAL resignation: On November 30, 2006, JAL Diversified Management resigned from the Highview II account effective January 31, 2007. This notice superceded the renewal contract offered to Highview II only weeks before. With new management interviews wrapping up, JAL’s resignation was not viewed as a serious concern by the board.

e) Board member resignation: On December 12, 2006, Anna Civitano resigned from the Board, citing concerns for the board’s efficient operation.

f) Board member appointment: In accordance with Highview Bylaws requirement of a prompt appointment to fill any vacancy as a first order of business, Joseph Cann was appointed to the board on December 14, 2006. He will serve as an appointee until the next General Membership meeting, at which time he may be elected to fill the balance of Civitano’s term by election of the unit owners.

g) Treasurer’s Resignation: On December 18, 2006, Nora Colford resigned as Treasurer citing concerns that the Board president and JAL were not being responsive in adequately sharing the building’s financial information with her. As clarification, this was not a resignation from the board, only from the officer’s position. The board president clarified that there was no intent to withhold information by the president. Rich Re pointed out that he and Nora had met once and were trying to schedule a second meeting prior to her resignation.

h) Vote to hire new management firm: On December 28, 2006, the board voted to hire TKR Property Management. Those voting for TKR were Bellini, Biren, Boynton, Cannon, Colford, and Re. Al Lamoglia voted for Wentworth. Joe Cann abstained from the vote based on his recent appointment and therefore not being able to participate in the interview process.

i) Treasurer’s Appointment: At the December 28, 2006 meeting held to select new management, a discussion followed concerning replacement of the Treasurer. Boynton nominated Bellini. There were no other nominees. Bellini accepted nomination and was confirmed unanimously.
