Board of Directors - Meeting Minutes
March 24, 2009, 7:30 p.m.

The fourth meeting of the 2008-2009 Highview II Board of Directors was called to order at approximately 7:30 p.m. by Stacey Cohen.

Board members in attendance:  Robert Boynton, Joseph Cann, Marjorie Cannon, Stacey Cohen, Nora Colford, Michael D’Angelo, and Natalie Hendrix.  Linda Romolo attended from Wentworth Property Management.  Board member Frank Mattera was absent.

1)   Minutes:  Minutes of the January 27, 2009 meeting were approved.

2)   Financial Report:

      a)   Unit Owner Arrears were discussed.  Legal action continues with units 1-B, 2-J, and 6-C.  Legal expenses in such situations are added to unit owners’ outstanding balances.

      b)   FY2008 audit:  Contract for FY2008 audit has not been signed.  On account of a problem with management’s accounting department, the board agreed that completion of the FY2008 audit cannot be completed in time for an annual meeting in the time-frame called for by Highview Bylaws; annually within 60 days of anniversary of first sale (January-March).  The board declared special circumstances.

3)   Legal Report:

      a)   Noise complaints:  There was discussion of several noise complaints.  In each case, lack of carpeting was mentioned as a contributing factor and will be investigated by management in accordance with building Rules & Regulations and accompanying fine schedule.

      b)   Local Law 11 façade inspection (cycle 6):  Boynton again requested a copy of the NYC certification report of Becht Engineering’s Cycle 6 inspection for the board’s records.

      c)   Local Law 11 façade inspection (cycle 7):  At the October board meeting, it was noted by Boynton that Highview’s cycle 7 inspection cycle probably begins February 2010.  The board requested that Romolo provide an update of the details at the December and January meetings.  There was no update by Romolo at this March meeting.

      d)   Certificate of Incorporate:  The board discussed status of the incorporation documentation now required by banks and approved legal work.

      e)   Annual distribution of Fire Plan:  In accordance with NYC code, the building has completed the annual distribution of the building’s Fire Plan.  It was noted that NYC code requires distribution by January 31st each year if combined with a Window Guard notice.  Otherwise the annual distribution date is two months earlier (November).

4)   Building Repair & Maintenance Report:

      a)   Exhaust fan system:  Boynton reported progress on investigations of A-line bathroom, A-line kitchen, and E-line kitchen.

      b)   Elevator condition status:  Linda Romolo reported on the re-inspection by Vertical Systems Analysis (VSA) and update of their 05/02/06 report.  The report suggests that the building consider replacement on account of the growing difficulty of finding parts and increased costs when parts are located, however it found the elevator to be currently operating within safety limits.

      c)   Painting projects:  Progress continues on painting of unit doors and common area doors.

      d)   Garage floor plates:  There was no update on the replacement of the sewer cap in garage floor.  It was noted that this repair was first requested in May 2008.  Romolo will pick up a cap for Jose to install.

      e)   Regularly scheduled building maintenance:  There was a general discussion of building maintenance and the super’s daily responsibilities.

The meeting adjourned at approximately 10:00 p.m.
